Welcome to Accounting.bi Limited! These terms and conditions outline the rules and regulations for the use of our software and services. By accessing and using our software, you accept and agree to be bound by these terms and conditions.

1. Definitions

Company: Accounting.bi Limited, a UK company.
Software: The system provided by Accounting.bi Limited that integrates data from cloud accounting systems and syncs it to Microsoft Excel and PowerBI.
User: Any individual or entity using the Software.
Data: Any information retrieved from cloud accounting systems as requested by the User.
Services: The provision of data integration and syncing functionalities provided by the Software.
Subscription: The arrangement for periodic access to the Services, subject to a fee.
Account: The registered profile of the User, necessary for accessing the Services.
Credits: Units allocated to Users based on their Subscription plan, used to measure usage of the Software.

2. Acceptance of Terms

By registering for, accessing, or using the Software, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
If you do not agree with any part of these terms and conditions, you must not use the Software.

3. Modifications to Terms

We reserve the right to modify these terms and conditions at any time.
Any changes will be effective immediately upon posting the revised terms on our website.
Users are responsible for reviewing these terms periodically to stay informed of any updates. Continued use of the Software after changes have been posted constitutes acceptance of the revised terms.

4. User Accounts

To use the Software, Users must register and create an Account.
Users must provide accurate and complete information during registration and maintain the accuracy of this information.
Users are responsible for maintaining the confidentiality of their Account credentials and for all activities that occur under their Account.
Users must notify us immediately of any unauthorized use of their Account or any other breach of security.

5. Subscription and Fees

Access to the Services requires a Subscription, which is subject to periodic fees as detailed on our website.
Fees are billed in advance and are non-refundable, except as required by law.
We reserve the right to change Subscription fees at any time, with reasonable notice provided to Users.

6. Credit Pricing System

Users purchase Subscription plans that allocate a certain number of Credits to their Account.
Credits are used based on the User's usage of the Software.
If a User exceeds the number of Credits allocated within their plan, they must either upgrade their Subscription or pay for additional Credits at an overage charge rate of 200% of the standard Credit rate.
Users will be notified when they are approaching their Credit limit and when they have exceeded it.
Unused Credits may not roll over to the next billing cycle unless specified otherwise in the Subscription plan.

7. Data Collection and Usage

We collect Data that the User specifically requests via our interface.
Data is used solely for the purpose of providing the Services and improving the User experience.
We do not share Data with third parties, except as required by law or as necessary to provide the Services.
Users grant us the right to access and use Data for the purposes of providing and enhancing the Services.

8. Data Storage and Security

All Data is stored in UK data centres and is compliant with GDPR.
We employ industry-standard security measures to protect Data from unauthorized access, alteration, disclosure, or destruction.
Despite our efforts, no method of transmission over the internet or method of electronic storage is 100% secure. We cannot guarantee absolute security.

9. Data Deletion

Data is deleted when the User cancels their subscription.
Users can request data deletion at any time by contacting us at [contact information].
We will process deletion requests promptly and ensure all Data is permanently removed from our systems.
Data deletion may take up to [timeframe] to be fully completed.

10. User Responsibilities

Users must provide accurate and complete information when using the Software.
Users must comply with all applicable laws and regulations when using the Software.
Users must not use the Software for any illegal or unauthorized purpose, including but not limited to:
Violating any laws or regulations.
Infringing upon or violating our intellectual property rights or the intellectual property rights of others.

The Software and all related materials are the intellectual property of Accounting.bi Limited.
Users are granted a limited, non-exclusive, non-transferable license to use the Software in accordance with these terms and conditions.
Users must not reproduce, distribute, or create derivative works from the Software without our prior written consent.
All trademarks, service marks, and logos used in connection with the Software are the trademarks of Accounting.bi Limited or their respective owners.

12. Limitation of Liability

The Software is provided "as is" and "as available" without any warranties, express or implied.
Accounting.bi Limited will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use the Software.
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
  • Any bugs, viruses, trojan horses, or similar issues transmitted to or through the Software by any third party.

Our liability for any claim arising from these terms and conditions will be limited to the amount paid by the User for the Services during the 12 months prior to the claim.

13. Indemnification

Users agree to indemnify, defend, and hold harmless Accounting.bi Limited and its affiliates, officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

  • Your access to or use of the Software.
  • Your violation of these terms and conditions.
  • Your violation of any rights of another party.

14. Termination

We reserve the right to terminate or suspend access to the Software at any time, without prior notice or liability, for any reason, including but not limited to a breach of these terms and conditions.
Upon termination, the User's right to use the Software will immediately cease.
Users may terminate their subscription by following the cancellation procedures on our website or by contacting us directly.
Upon termination, all Data will be deleted as per our data deletion policy.

15. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of the United Kingdom.
Any disputes arising from these terms and conditions will be subject to the exclusive jurisdiction of the courts of the United Kingdom.

16. Entire Agreement

These terms and conditions constitute the entire agreement between you and Accounting.bi Limited regarding the use of the Software and supersede any prior agreements, whether written or oral, relating to the subject matter herein.

17. Severability

If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions will continue to be valid and enforceable.
The invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

18. Waiver

No waiver of any term or condition set forth in these terms and conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.
Our failure to assert a right or provision under these terms and conditions shall not constitute a waiver of such right or provision.
